Terms of Service

Important Notice: Section 11 contains an arbitration clause and a waiver for class action. If you are a resident of the United States, this has implications for your rights regarding how to settle disputes with us. By accepting these terms and utilizing the Beacon platform, you consent to be bound by this agreement.

1.       WELCOME TO BEACON

Welcome to Beacon, brought to you by Critical Role Productions, LLC (“Critical Role”).

These Terms of Service (the “Terms”) govern your access to and use of the Beacon website, our mobile applications, membership services, and any associated content (collectively, the “Platform”).

By accessing or using the Platform, you acknowledge and agree that these Terms form a legally binding agreement between you and Critical Role. Your use of the Platform signifies your acceptance of these Terms.

 

Please read them carefully before using the Platform, as they contain important information regarding your legal rights and obligations.

 

2.       BEACON SERVICES

Beacon is a membership platform operated by Critical Role, that provides users with access to exclusive content, features, and community experiences related to Critical Role’s storytelling and world-building.

 

Content and Features

Beacon provides a variety of exclusive content and features to its members, which may include:

  • Ad-free access to Critical Role’s core shows and specials, including new and archival content
  • Early access to select shows and content
  • Exclusive shows, content, and behind-the-scenes footage
  • Access to event pre-sales and special promotions
  • Members-only community spaces like Discord and forums
  • Discounts on official Critical Role merchandise

The specific content and features available to each user will depend on their Membership Tier. Critical Role reserves the right to add, remove, or modify the content and features offered through the Platform at any time.

 

Fan Content and Interaction

Beacon supports and encourages fan engagement and creativity. Fans are welcome to create and share fan art, cosplay, fan fiction, and other transformative works inspired by Critical Role’s content.

Membership Tiers

Beacon offers different membership plans, each providing a different level of access to the Platform’s features and content (each, a “Membership Tier”). These Membership Tiers may include free trial periods, paid monthly or annual memberships, or other promotional offers.

 

The specific benefits, pricing, and terms of each Membership Tier will be described on the Beacon website and may be subject to change. Please refer to the Beacon website for the most up-to-date information on available membership tiers and their associated benefits.

 

Critical Role reserves the right to modify, suspend, or discontinue any aspect of the Platform and the services and content offered, at any time.

 

3.       YOUR ACCOUNT

Minimum Age and Parental Consent Requirements

To ensure compliance with online safety standards and regulations, Beacon imposes specific age requirements for users wishing to access its services. You must be at least 13 years old to create an account and use the Platform.

 

If you are under the age of majority in your jurisdiction, you are required to obtain consent from a parent or legal guardian, who must agree to these Terms on your behalf.

 

Account Registration

To access and utilize the full range of features offered by Beacon, you are required to create an account (your “Account”). When setting up an Account, you must provide accurate and up-to-date information. It is your sole responsibility to maintain the confidentiality of your Account login credentials, including your username and password. You are strictly prohibited from sharing their Account or login credentials with others.

 

By creating an Account, you affirm that you meet the above age requirements, or if you are a minor, you have obtained the necessary parental consent to use the Platform.

 

You are solely responsible for all activities that occur under your Account, regardless of whether or not you have authorized such activities. You must immediately notify us at [email protected] if you become aware of any unauthorized use of your Account or any other security breach.

 

You acknowledge and agree that Beacon is not liable for any loss or damage arising from your failure to comply with these obligations.

 

Your Username

Beacon aims to be a friendly environment for our users, so you are prohibited from selecting a username that is offensive, vulgar, or obscene. Additionally, you cannot choose a username that includes someone else’s name, a brand name, or trademark without authorization.

 

Transfers

You may not sell, transfer, or assign your Account or any rights or obligations under this Agreement to any third party without Critical Role’s prior written consent.

 

Messages from Critical Role

You understand that we may send you business-related communications through the Platform or through email, such as product and other announcements, and administrative notices. You agree that these communications are not “unsolicited commercial email advertisements” and you agree to receive them.

 

Marketing-related email messages will be accompanied by instructions for opting out.

 

4.       MEMBERSHIP TERMS

Membership Tiers, Free Trials

Beacon may offer different Membership Tier levels, each of which have different levels of access to Platform content and features. The specifics of each Membership Tier are described further on the Platform, including pricing, features, and other terms, and may change from time to time at Critical Role’s sole discretion.

 

This may include free trial Membership Tier levels, which provide new you with temporary access to a select range of Beacon content and features for a limited time, which may include advertisements. After the free trial, you will be automatically charged the applicable fee using the payment information you entered. You may cancel at any time prior to the end of the trial period.

 

Membership Fees and Billing Cycle

Membership fees for the paid Membership Tiers (the “Fees”) are billed at the beginning of the membership period and will auto-renew at the end of each period. Your chosen payment method will be automatically charged the then-current Fee, unless you cancel your memebrship before the end of the current membership period.

 

The billing cycle for the paid Membership Tiers is monthly or annually, depending on the option you chose at the time of purchase.

 

Managing Your Membership

You can manage your membership settings, including updating your billing information or cancelling your membership, by accessing your account settings on the Platform or by contacting our support team at [email protected].

 

Cancellation Policy

You may cancel your membership at any time. However, please note that Critical Role does not provide refunds or credits for any partial membership periods or unused content, unless such refunds are required by law.

Upon cancellation, you will ontinue to have access to the Membership Tier and associated content and features until the end of your current billing cycle.

 

Price and Tax Changes

Critical Role reserves the right to change membership Fees at any time. We will provide you with reasonable notice of any such changes.

 

You are responsible for all applicable taxes associated with your Membership Tier, and such taxes may change in accordance with local, state, or federal law changes.

 

By subscribing to the Platform, you acknowledge and agree to these Membership Tiers, Fees, billing cycles, auto-renewal policy, and the cancellation policy as outlined above.

 

5.       INTELLECTUAL PROPERTY AND OUR LICENSE TO YOU

Intellectual Property Ownership

All intellectual property rights in and to the Beacon Platform, including but not limited to its software, the Beacon brand, and all content on the Platform (excluding user-generated content) (the “Beacon Content”), are the sole property of Critical Role or its licensors. This encompasses all copyrights, trademarks, patents, trade secrets, and any other proprietary rights under the laws of the United States and other countries. Critical Role reserves all rights not expressly granted in these Terms.

 

Grant of Limited License to Users

Subject to your compliance with these Terms, Critical Role grants you a non-exclusive, non-transferable, revocable limited license to access and use the Platform for your personal, non-commercial purposes.

 

This license is limited to the right to view content provided through the Platform and does not include any right of public performance, public display, or any other rights not specifically granted in these Terms.

 

Prohibited Uses

You may not use the Platform for any purposes other than those expressly permitted by these Terms and any lawful purposes.

 

  • You may not reproduce, distribute, publicly perform, or publicly display any Beacon Content without Critical Role’s express prior written consent.
  • You may not attempt to reverse engineer, modify, or create derivative works of the Platform, Beacon Content, or any portion of the Platform or Beacon Content.

Any use of the Platform other than as specifically authorized in these Terms, without the prior written permission of Critical Role, is strictly prohibited and will terminate the license granted under these Terms.

 

User-Generated Content

Users may share their own content on the Platform, including but not limited to sharing performances, live streaming, writing, artwork, and photographs, as well as interact with other users and Critical Role through forums, chat, messaging, comments, and more (collectively, the “User Content”).

 

By sharing User Content on the Platform, you grant Critical Role a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Platform and Critical Role’s (and its successors’ and affiliates’) business, including without limitation for promoting and redistributing part or all of the Platform (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the Platform a non-exclusive license to access your User Content through the Platform, and to use, reproduce, distribute, display, and perform such User Content as permitted through the functionality of the Platform and under these Terms.

 

Content Disclaimer

While Critical Role strives to foster a respectful and welcoming community on the Platform, it is possible that you may encounter other users’ User Content that you find offensive, upsetting, or objectionable.

 

Critical Role does not pre-screen or monitor User Content, and as such, does not guarantee that you will not encounter material of this nature. By using the Platform, you acknowledge and agree that Critical Role is not responsible for, and does not endorse, User Content. You further agree that Critical Role is not liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such User Content available on or through the Platform.

 

If you encounter any User Content which is in violation of these Terms, please report it to Critical Role at [email protected] or through any reporting tools offered on the Platform.

 

Copyright Complaints – Digital Millennium Copyright Act

If you are a copyright owner or their agent, and you believe that any content on the Platform infringes your copyright rights, you may submit a DMCA notification in writing to us with the following information:

 

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are claimed, a list of those works on the Platform.
  • Identification of the material that is claimed to be infringing and that is to be removed or disabled, with sufficient detail to permit us to locate the material.
  • Information reasonably sufficient to permit us to contact you, such as your email, address, or phone number.
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

When we receive a notice alleging copyright infringement, we will take whatever action we deem appropriate, within our sole discretion, including removal of the allegedly infringing materials and termination of access for repeat infringers of copyright protected content.

 

Repeat Infringer Policy

Any user of the Service that repeatedly infringes third party copyright or other intellectual property rights will have their Account suspended or terminated.

 

6.       USER CONDUCT

By accessing or using the Platform, you agree to comply with the following conduct and content policy. This policy is designed to ensure a respectful, safe, and lawful environment for all users. Violation of this policy may result in the removal of your User Content, the suspension of your Account, or other appropriate actions by Critical Role.

 

Prohibited Content: The following types of content are strictly prohibited on the Platform:

  • Adult Content: User Content that is pornographic, sexually explicit, or that promotes adult services is not allowed. User Content aimed at adult audiences must be appropriate for all ages.
  • Intellectual Property Violations: You may not post User Content that infringes on the intellectual property rights of others, including copyright, trademark, or trade secret rights, without express permission from the rights holder.
  • Abusive Behavior: User Content or conduct that is abusive, threatening, defamatory, harassing, or promotes violence against individuals or groups based on race, ethnicity, religion, gender, sexual preference, disability, or any other characteristic is prohibited. Hate speech and bullying are not tolerated.
  • Illegal Activities: Promoting or engaging in illegal activities is not allowed. This includes, but is not limited to, the sale of illegal drugs, fraud, and encouraging harm against oneself or others. Additionally, any User Content or conduct that violates any applicable law, regulation, or ordinance is prohibited. This includes, but is not limited to, content that is illegal, fraudulent, or infringes on the intellectual property rights of others.
  • Technical Violations: Any User Content or conduct which imposes an unreasonable or disproportionately large load on the Platform or otherwise interferes with the Platform, uses or possesses programs to “crack” the Platform or other Internet security tools, or contains, or uploads files that contain, viruses, Trojan horses, worms, corrupted files or data, or any other similar software or programs that may damage or inhibit the operation of the Platform.
  • Interactions with Users: Any User Content or conduct which specifies or claims that that you are affiliated with Critical Role when you are not, including without limitation an “Administrator,” “Moderator,” or any other employee or agent of Critical Role, requests login information from other users, or uses any means to disguise your online identity or alter original attribute information, including, but not limited to duplicate accounts.

Enforcement and Reporting: Critical Role reserves the right to review and moderate all User Content shared on the Platform. We may remove content, suspend accounts, or take other appropriate actions if we determine that a user has violated this policy or poses a threat to our community or the integrity of the Platform. Users are encouraged to report violations of this policy to Critical Role by contacting us at [email protected].

 

Content Removal: Critical Role reserves the right, but is not obligated, to remove any content that we determine, in our sole discretion, violates these policies or otherwise is harmful to the community, the Platform, or our brand.

 

By using the Platform, you acknowledge and agree to abide by this Conduct Policy. Your commitment to these principles ensures that the Platform remains a welcoming and safe platform for all users.

 

7.       THIRD-PARTY CONTENT

The Platform may contain links to third-party websites, services, or content, as well as host third-party content directly on the Platform for informational, educational, or promotional purposes. Critical Role does not endorse, approve, or certify such external sites or services, nor does it guarantee the accuracy, completeness, efficacy, or timeliness of information located therein. Critical Role expressly disclaims any responsibility for the content, legality, decency, or accuracy of any information, and for any products and services, that appear on any third-party website or application.

 

Your use of third-party sites and content is at your own risk and subject to the terms and conditions of use for such sites. Critical Role is not responsible for any losses, damages, or other liabilities incurred as a result of your use of any linked sites or services.

 

8.       DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE PLATFORM AND ALL CONTENT AND SERVICES AVAILABLE THROUGH THE PLATFORM ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CRITICAL ROLE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CRITICAL ROLE DOES NOT REPRESENT OR WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM, OR THE SERVERS THAT MAKE THE PLATFORM AVAILABLE, ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

 

CRITICAL ROLE MAKES NO REPRESENTATION OR WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT AVAILABLE THROUGH THE PLATFORM. ANY RELIANCE ON OR USE OF THE PLATFORM OR THE CONTENT AVAILABLE THROUGH THE PLATFORM IS AT YOUR OWN RISK.

 

Limitation of Liability

IN NO EVENT WILL CRITICAL ROLE, ITS AFFILIATES, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE, OR INABILITY TO USE, THE PLATFORM.

 

CRITICAL ROLE’S TOTAL LIABILITY TO YOU FOR ANY DAMAGES FINALLY AWARDED WILL NOT EXCEED THE AMOUNT OF USD $100.00, OR THE AMOUNT YOU PAID CRITICAL ROLE, IF ANY, IN THE PAST 6 MONTHS IN SUBSCRIPTION FEES PRIOR TO THE CLAIM. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

 

THE DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY IN THIS SECTION APPLIES TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE EXCLUSION AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU IN THEIR ENTIRETY.

 

9.      INDEMNIFICATION

By using the Platform, you agree to defend, indemnify and hold harmless Critical Role, its affiliates, and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Platform and any content available through the Platform, (b) your violation of these Terms, the Content Policy, or any applicable law, (c) your violation of the rights of any third party, or (d) any User Content that you share or post on or through the Platform.

 

10.   TERMINATION

Critical Role reserves the right, at its sole discretion, to terminate or suspend any user’s Account or access to the Platform, at any time and for any reason, without prior notice or liability. This includes, but is not limited to, a breach of these Terms, upon the occurrence of any conduct by a user which Critical Role, at its sole discretion, considers to be unacceptable, or in the event of any unforeseen technical or security issues or problems.

 

Upon termination or suspension, regardless of the reasons, your right to use the services available on the Platform immediately ceases, and you acknowledge and agree that we may immediately deactivate or delete your Account and all related information and files in your Account and bar any further access to the Platform. Critical Role will not be liable to you or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by Critical Role in connection with such termination or suspension.

 

11.  GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law

These Terms and any dispute, claim, or controversy arising out of or related to these Terms or your use of the Platform are governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law.

 

Dispute Resolution and Binding Arbitration

If there is any dispute, claim, or controversy between you and Critical Role arising out of or relating to your use of the Platform, these Terms, or the breach, enforcement, interpretation, or validity of these Terms or any part of them (“Dispute”), you and Critical Role agree to resolve the Dispute through binding individual arbitration.

 

You and Critical Role agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California to resolve all Disputes that are not subject to arbitration under this section.

 

Informal Dispute Resolution: Before initiating arbitration, the party with the complaint (the “Complaining Party”) must send a written notice to the other party (the “Receiving Party”) describing the facts and circumstances of the Dispute. The Complaining Party and the Receiving Party will attempt to resolve the Dispute through informal negotiation within 60 days from the date of receipt of such notice. If the Dispute is not resolved within this timeframe, either party has the right to initiate arbitration.

 

Arbitration Rules and Process: The arbitration will be conducted by JAMS under its Streamlined Arbitration Rules and Procedures. You and Critical Role agree that the Federal Arbitration Act will govern the interpretation and enforcement of this arbitration agreement. The arbitrator, and not any court, will have the exclusive authority to resolve any Dispute, including the arbitrability of any claim. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction over such award.

 

Class Action Waiver: YOU AND CRITICAL ROLE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. UNLESS BOTH YOU AND CRITICAL ROLE AGREE, NO ARBITRATOR OR COURT MAY CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

 

Modifications

Notwithstanding anything to the contrary, if Critical Role changes this “Dispute Resolution” section after the date you first accepted these Terms (or accepted any subsequent changes to these Terms), you may reject any such change by sending us written notice (including by email) within 30 days of the date such change became effective, as indicated in the “Last Modified” date above. By rejecting any change, you are agreeing that you will arbitrate any Dispute between you and Critical Role in accordance with the provisions of this “Dispute Resolution” section as of the date you first accepted these Terms (or accepted any subsequent changes to these Terms).

 

12.   GENERAL TERMS

Entire Agreement

These Terms, together with the Privacy Policy, Content Policy, and any other legal notices or additional terms published by Critical Role on the Platform, constitute the entire agreement between you and Critical Role governing your use of the Platform, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Critical Role with respect to the Platform.

 

Waiver and Severability

Critical Role’s failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, you and Critical Role nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms will remain in full force and effect.

 

Section Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

 

Assignment

These Terms are personal to you, and are not assignable or transferable by you except with Critical Role’s prior written consent. Critical Role may assign, transfer, or delegate any of its rights and obligations under these Terms without consent.

 

Agency

No agency, partnership, joint venture, or employment relationship is created as a result of these Terms, and neither party has any authority of any kind to bind the other in any respect.

 

Force Majeure

Critical Role will not be liable for any failure to fulfil its obligations under these Terms if such failure is caused by circumstances beyond Critical Role’s reasonable control, such as, but not limited to, an act of war, terrorism, natural disaster, labor strike, pandemic, supply-chain disruption, or internet failure.

 

Notices

Any notices or other communications provided by Critical Role under these Terms, including those regarding modifications to these Terms, will be given: (a) via email to the email address on your Account; or (b) by posting to the Platform. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
